1. Acceptance of terms

By creating an account, accessing, or using the St8dio platform ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of the service

St8dio is an all-in-one business operations platform that provides tools for sales, CRM, inventory, finance, accounting, HR, manufacturing, reporting, and automation. The Service is provided on a software-as-a-service (SaaS) basis and is accessible through a web browser. We may update, add, or remove features at our discretion.

3. User accounts and responsibilities

To use the Service, you must create an account and provide accurate, current information. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Ensuring that the data you enter into the platform is accurate and that you have the right to process any personal data you input (including data about employees, contacts, and customers).
• Notifying us promptly of any unauthorised use of your account.

You must be at least 18 years old to use the Service.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Upload or store malicious code, viruses, or harmful content.
• Attempt to gain unauthorised access to the Service, its systems, or other users' data.
• Use the Service to process stolen, fraudulent, or illegally obtained data.
• Interfere with or disrupt the Service or servers used to provide it.
• Reverse engineer, decompile, or disassemble any part of the Service.

5. Subscription, payment, and cancellation

The Service offers subscription plans with pricing displayed on our pricing page. By selecting a paid plan, you agree to pay the applicable fees on a recurring basis (monthly or annually) through our payment provider.

Free trial: We may offer a free trial period. After the trial ends, your selected plan will begin and payment will be processed unless you cancel before the trial ends.

Cancellation: You can cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods unless required by law.

Price changes: We may change our fees with reasonable notice. Any price changes will take effect at the start of your next billing cycle after notice is given.

6. Intellectual property

The Service, including its design, software, features, and content, is owned by St8dio and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service for the duration of your subscription, subject to these Terms.

All data you enter into the Service remains yours. You retain all rights to your business data. We do not claim ownership of your data and will only access it as necessary to provide, maintain, and secure the Service.

7. Limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by law, St8dio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising from your use of or inability to use the Service.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

You acknowledge that St8dio is not a financial institution, accounting firm, or legal advisor, and that AI-generated insights are informational only and do not constitute professional advice.

8. Termination

You may terminate your account at any time through the Service settings. We may suspend or terminate your access to the Service if you breach these Terms, if your account remains inactive for an extended period, or if required to comply with legal obligations.

Upon termination, your right to use the Service ends immediately. We will retain your data for a limited period to allow for export, after which it will be deleted in accordance with our retention policy, subject to any legal obligations to retain certain data.

9. Governing law

These Terms are governed by the laws of the European Union and the member state in which the sole trader operating St8dio is registered. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of that member state, without prejudice to any mandatory consumer rights you may have.

10. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription as described in Section 5.
